Smart Waste Rental Agreement

Rental Agreement
This Rental Agreement is made and entered into on this [Date] by and between Smart Waste
(hereinafter referred to as "Smart Waste") and [Tenant's Name] (hereinafter referred to as "Tenant").

1. Property
Smart Waste agrees to rent to the Tenant the property located at [Property Address] (hereinafter
referred to as "the Property").

2. Term
The term of this rental agreement shall commence on [Start Date] and shall continue for a period
of three (3) years, ending on [End Date]. After the initial period, the agreement will automatically convert to a 12-month rolling contract.

3. Rent
The Tenant agrees to pay Smart Waste a monthly rent of €300 for the EASI system, payable in
advance on the [Day] of each month. This payment will be set up as a monthly standing order
from the Tenant's bank account. The rent amount will not increase during the initial three years
of the agreement.

4. Security Deposit
The Tenant shall pay a security deposit of €[Amount] upon signing this agreement. This deposit
shall be held by Smart Waste as security for the performance of the Tenant's obligations under
this agreement.

5. Break Clause

In the first two years of the agreement, either party may terminate this agreement by giving six (6) months' written notice.
In the final year of the agreement, either party may terminate this agreement by giving three (3) months' written notice.

6. Maintenance and Repairs
The Tenant agrees to keep the Property in good condition and to promptly notify Smart Waste of
any necessary repairs. Smart Waste will be responsible for fixing any mechanical issues or normal wear and tear of the machine not caused by the tenant or any of their agents or the general public. Any damage caused by the Tenant or the Tenant's customers outside the normal usage of the machine will not be covered by the maintenance agreement and will be charged to the Tenant.

7. Use of Property
The Tenant agrees to use the Property solely for residential purposes and to comply with all
applicable laws and regulations. The tenant is not to make any modifications whats.

8. Subletting
The Tenant shall not sublet the Property or assign this agreement without the prior written
consent of Smart Waste.

9. Approved Bags
The Tenant agrees to use only the approved bags supplied by Smart Waste for waste disposal.
Any use of other bags can lead to the termination of this rental agreement.

10. Late Payment Penalties
If the Tenant fails to pay the rent on the due date, a late fee of €10 per day will be charged for
each day the rent is late. If the rent remains unpaid for more than [Number] days, Smart Waste
reserves the right to terminate this agreement.

11. Property Inspections
Smart Waste reserves the right to inspect the Property at reasonable times with prior notice to
the Tenant. Inspections will be conducted to ensure the Property is being maintained in
accordance with the terms of this agreement.

12. Tenant Responsibilities
The Tenant agrees to:

Keep the Property clean and in good condition.
Promptly report any issues or necessary repairs to Smart Waste.
Use the Property in a manner that does not disturb neighbours or violate any laws.
Dispose of waste using only the approved bags supplied by Smart Waste.
Ensure that any damage caused by the Tenant or the Tenant's customers outside normal usage is repaired at the Tenant's expense.

13. Maintenance Responsibilities
Smart Waste will be responsible for:

Fixing any mechanical issues or normal wear and tear of the machine.
Conducting regular maintenance checks to ensure the machine is in good working condition.
Addressing any necessary repairs reported by the Tenant in a timely manner.

14. Delivery, Installation, and Training
Smart Waste will be responsible for:

Delivering and installing the equipment.
Providing initial training on the equipment to the Tenant.
Maintaining an FAQ section on its website for any issues with the equipment, which
must be checked prior to contacting Smart Waste.
Providing a dedicated phone line for issues. Issues that cannot be resolved over the phone will be scheduled for a call-out.

15. Early Termination Fees
If the Tenant terminates this agreement early, a fee of €500 will be charged to cover the cost of
relocating the equipment.

16. Default on Payment
If the Tenant defaults on payment, the following steps can be taken:

Late Payment Penalties: A late fee of €10 per day will be charged for each day the
rent is late.
Termination of Agreement: If the rent remains unpaid for more than [Number] days,
Smart Waste reserves the right to terminate the agreement.
Early Termination Fees: If the agreement is terminated early due to non-payment, a
fee of €500 will be charged to cover the cost of relocating the equipment.

17. Description of the Machine
The EASi is a revolutionary patented waste management system that is fully sustainable. The
system features odour control, UV disinfection, discourages pests, has limitless capacity, and uses the world's only fully sustainable waste collection bag.

18. Special Conditions:

The Client will be responsible for all utility connections and disconnection
charges and site preparation.
Neither the company nor its agents shall in any way be liable to any party
whatsoever for any claim, injury, loss, exigency or damage occasioned by or
arising in any way from use or misuse of the machine.
The Client shall affect and maintain for the duration of the agreement a policy
of insurance in respect to fire, theft, and other normal risks and hazards with a
reputable insurance company, and if requested shall furnish such insurance
coverage to the company.
At the end of the agreement the client will ensure that the equipment is empty and available for collection / transportation.

18. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Ireland.
19. Signatures
IN WITNESS WHEREOF, the parties hereto have executed this Rental Agreement as of the day
and year first above written.
